Terms of Service

To participate in auctions, you must create an account. By registering, you agree that:

• You are at least 18 years of age. • You will provide accurate, current, and complete information. • You will maintain only one account per person. • You are responsible for all activity under your account and for keeping your login credentials confidential. • You will notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these terms.

When you place a bid, you are entering into a binding commitment to purchase the artwork at that price if your bid is the winning bid. Specifically:

• All bids are final and cannot be retracted once submitted. • Bids must meet or exceed the minimum increment above the current highest bid. • The highest bidder at auction close wins the lot, subject to the reserve price being met. • The Platform reserves the right to cancel bids or suspend bidders engaged in shill bidding, bid manipulation, or any other fraudulent activity. • Anti-sniping rules apply: a bid placed in the final minutes may extend the auction end time.

Artists approved to list on the Platform agree to the following:

• You retain full copyright and moral rights to all artworks you submit. • By uploading an artwork, you grant Untitled Collective a non-exclusive, royalty-free license to display, reproduce, and promote the artwork solely for the purpose of conducting the auction. • You confirm that the artwork is your original creation and does not infringe any third-party intellectual property rights. • You agree to accurately represent the artwork's medium, dimensions, condition, and year of creation. • Misrepresentation of an artwork may result in removal from the Platform and legal liability.

Winning bidders are obligated to complete payment promptly:

• Payment must be completed within 72 hours of the auction closing. • All transactions are denominated in New Taiwan Dollars (TWD). • Payments are processed exclusively through Stripe. By proceeding to checkout, you agree to Stripe's Terms of Service. • Failure to pay within the deadline may result in the cancellation of the transaction and suspension of your account. • Shipping and handling are arranged directly between the buyer and the artist. The Platform is not responsible for shipping costs, logistics, or delivery disputes.

You agree not to engage in any of the following:

• Shill bidding or bid manipulation (placing bids to artificially inflate prices). • Creating multiple accounts to circumvent bans or bidding restrictions. • Harassment, abuse, or threatening behavior toward other users or artists. • Uploading content that infringes copyright, trademarks, or other intellectual property rights. • Attempting to circumvent the Platform's security measures or payment systems. • Using the Platform for money laundering or any illegal purpose.

Violations may result in immediate account termination and referral to law enforcement authorities.

The Platform acts as an intermediary marketplace and is not a party to transactions between buyers and artists. Accordingly:

• We make no representations or warranties regarding the quality, condition, authenticity, or value of any artwork listed. • We are not responsible for disputes between buyers and artists regarding artworks, shipping, or condition. • To the maximum extent permitted by law, Frictionless Software's liability is limited to the service fees paid by the user in the 12 months preceding the claim. • We are not liable for indirect, incidental, or consequential damages arising from use of the Platform.

These Terms are governed by the laws of the Republic of China (Taiwan). Any disputes arising from or related to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the Taipei District Court as the court of first instance.

Before initiating legal proceedings, we encourage users to contact us at support@frictionlesssoftware.com to resolve disputes informally.

We may revise these Terms of Service at any time. Material changes will be communicated via email or a prominent notice on the Platform. Continued use of the Platform after the effective date of revisions constitutes your acceptance of the updated terms.
